Terms and Conditions of Use

Play Hockey Canada Inc. and Play Hockey USA Inc. and their respective directors, officers, owners, agents, representatives, employees, affiliates, partners and subsidiaries (collectively "Play Hockey Group", "we", "us" or "our") value your interest in the game, our services and your commitment to the Play Hockey Group community. Play Hockey Group is committed to creating a safe, enjoyable and inclusive environment for all Users. Please note that use of the Play Hockey Group website, www.playhockey.com, (our “Website”), mobile application (our "App", and together with our Website and all other websites or applications offered by Play Hockey Group from time to time, collectively referred to as our “Platforms”) and certain other related Services and/or functionalities are subject to age restrictions and/or other eligibility requirements. If you are a Minor (as defined below), you may use our Services (as defined below) only with the consent and supervision of a parent or legal guardian.

For the purpose of these Terms and Conditions of Use ("Terms of Use"): (i) “Registrant” refers to any individual who lawfully registers or enrolls a Player in an Event; (ii) "Player" refers to any Minor registered for or enrolled in any event, program or other activity provided or hosted by Play Hockey Group (collectively, the “Events”); (iii) "Minor" refers to an individual who is under the age of majority in their jurisdiction of residence; and (iv) “User” refers to any individual who has accessed and uses any of our Platforms or related Services.

References to "you" and "your" in these Terms of Use are references to (i) any individual who has access to and uses any of our Services, and (ii) any individual of the age of majority in their jurisdiction of residence who authorizes a Minor's access and use of any of our Services.

Acceptance of the Terms of Use

The following terms and conditions contained in these Terms of Use are established by Play Hockey Group and form a legally binding agreement with you which govern your: (i) use of our Platforms and all other products, services, features, technologies and software offered through or in connection with our Platforms; (ii) registration (or registration of a Minor) in or participation in or attendance at any events, programs or other activities provided or hosted by Play Hockey Group (collectively, the “Events”); and (iii) engagement with Play Hockey Group in any other way (collectively, our "Services").

Please review these Terms of Use carefully before using our Services. By creating an Account, accessing and/or using our Platform and or Services, or on each occasion when you sign into your Account, are confirming that you have read and understand the terms of these Terms of Use and of our Privacy Policy (our “Privacy Policy”) and that you agree to be bound by each of such terms. Use of the Platform and/or Services is strictly voluntary. IF YOU DO NOT AGREE WITH OUR POLICIES AND PRACTICES, YOU ARE PROHIBITED FROM ACCESSING OR USING OUR SERVICES, DOWNLOADING OR INSTALLING ANY OF OUR PLATFORMS, OR AUTHORIZING A MINOR TO DO ANY OF THE FOREGOING.

Additional Agreements

In addition to these Terms of Use, to access and use certain Services or services available through the Platforms, Users may be subject to additional terms, conditions, guidelines and/or policies established by Play Hockey Group, including, but not limited to, our Privacy Policy. Any such additional terms, conditions, guidelines and/or policies are in addition to and form part of these Terms of Use. Unless otherwise provided, in the event of a conflict between these Terms of Use and any such additional terms, conditions, guidelines and/or policies, these Terms of Use will prevail but only to the extent that such conflict relates to your access to and/or use of our Services. These Terms of Use do not alter in any way the terms and conditions of any other agreement you may have with us.

Services

The Services include all of the products, features, applications, services, technologies and software that Play Hockey Group provides in connection with or in relation to our Platforms. The App is a downloadable mobile application that allows a User to (i) manage and access a Player's team and/or event details, schedule, statistics, standings, playoffs and rosters, (ii) livestream sporting events, and (iii) post and share their own photographs, videos and Content (as defined below). The Website is an online platform accessible through a web browser that allows a User to (i) register Players and teams for tournaments, camps, showcases and other Events hosted by Play Hockey Group, and (ii) manage a Player’s Personal Information (as such term is defined in our Privacy Policy).

Collection of Visitor Information on the Website

Any information collected at the Website and the purposes for which we may use this information are set forth in our Privacy Policy. The terms of our Privacy Policy are incorporated herein by this reference. Please carefully review the information contained in our Privacy Policy. By using the Website, you agree to waive and release us from any claim or liability in connection with the collection, use, or disclosure of information that is consistent with the terms of our Privacy Policy.

Account

Play Hockey Group has set reasonable precautions to ensure that only authorized persons can make use of our Services. You must create a user account (an "Account") in order to access and use our Services. Accordingly, Play Hockey Group requires that you provide certain information, including your Personal Information, in order to establish your Account. Play Hockey Group will use this information for the purposes of: (i) establishing and administering your Account and/or any related Accounts, and (ii) communicating with you. Except where otherwise stated in these Terms of Use, our Privacy Policy, or in any other terms, conditions, guidelines or policies published by Play Hockey Group from time to time, Play Hockey Group will not make any additional uses or disclosures of your Personal Information without your consent unless required or permitted by applicable laws.

In order to keep you updated about important changes to these Terms of Use and concerning any of our Services for which you subscribe or have an Account, Play Hockey Group may send email communications related to your Account or any Events for which you are a Player, participant or spectator or for which you may be interested in. You are responsible for notifying Play Hockey Group of any changes to your Personal Information as they relate to your interactions with Play Hockey Group to ensure that you receive our messages. You can update your Personal Information and email settings (such as marketing subscriptions) concerning your Play Hockey Group Account at any time by signing into your Account and editing your information and preferences or by unsubscribing for a particular service (subject to contractual and/or legal restrictions).

By creating an Account, using and/or accessing our Platforms, and in consideration of your use of our Services, you agree to: (i) provide true, correct, accurate, current and complete information to Play Hockey Group, (ii) obtain all necessary approvals, consents, permissions and authorizations from all individuals or, in the case of Minors, obtain all necessary approvals, consents, permissions and authorizations from all such Minors' parent(s)/legal guardian(s), to disclose and submit their Personal Information, in any form whatsoever, to Play Hockey Group and for Play Hockey Group to collect, use, disclose, store, duplicate, delete or modify such Personal Information, (iii) use your Account and our Services only for its intended purposes, (iv) not allow third party access to or transfer ownership of your Account, and (v) accept full responsibility for all costs, fees, charges and taxes, of any kind or nature whatsoever, resulting from your use of our Services under your name or Account.

You acknowledge that Play Hockey Group is relying upon the current Personal Information provided by you in connection with your Account. You hereby represent and warrant to Play Hockey Group that (i) all information provided by you is true, correct, accurate, current and complete, and (ii) you consent to or, where applicable, have obtained all necessary consents, approvals, authorizations, permissions and powers necessary for, the collection, use and disclosure to and by Play Hockey Group of all Personal Information submitted, disclosed or shared by you in accordance with the terms of these Terms of Use. You undertake to immediately advise Play Hockey Group should any Personal Information provided by you change at any time during the term of these Terms of Use.

Who Can Create an Account

You may use our Services only if you agree to form a binding contract with Play Hockey Group and are not a person barred from receiving services under any applicable laws. If you are a Minor, you may only use our Services with the permission of your parent(s)/legal guardian(s). Please be sure your parent(s)/legal guardian(s) reviews and discusses these Terms of Use with you. FOR GREATER CERTAINTY AND NOTWITHSTANDING ANYTHING CONTAINED IN THESE TERMS OF USE, MINORS SHALL NOT BE PERMITTED TO REGISTER THEMSELVES OR ANY OTHER PARTICIPANT OR PLAYER FOR ANY PLAY HOCKEY GROUP EVENTS.

If you are (i) accepting these Terms of Use, accessing and/or using our Services, which constitutes acceptance of these Terms of Use, or (ii) accepting these Terms of Use in order to authorize the use of our Services on behalf of a Minor, company, organization, government or other legal entity (each an "entity"), you represent and warrant to Play Hockey Group, intending that Play Hockey Group relies on same, that (i) you are of the age of majority in your jurisdiction of residence, and (ii) you are authorized to do so or, as the case may be, you have the authority to bind such Minor and/or entity to these Terms of Use and have reviewed these Terms of Use and all other terms, conditions, guidelines and policies published by Play Hockey Group from time to time in a manner appropriate to their age and understanding.

If you accept these Terms of Use on behalf of a Minor, you are subject to the terms of these Terms of Use and are responsible for such Minor's activity on our Platforms, use of our Services, compliance with these Terms of Use, the Privacy Policy and any and all other guidelines and policies established by Play Hockey Group from time to time. Your consent to such Minor’s use of our Platforms (if applicable) shall remain in effect for so long as such Minor continues to use the Platforms until such Minor reaches the age of majority in their jurisdiction of residence.

You may not create an Account if a previous Account created by you has been disabled or terminated for violation of any applicable laws, these Terms of Use, or any other Play Hockey Group terms, conditions and/or policies.

QUEBEC RESIDENT NOTICE: Play Hockey Group regrets that its services are presently not open to residents of Quebec. If you are a resident of Quebec, do not create an Account or use our Services at the present time.

NOTICE TO RESIDENTS FROM OUTSIDE OF NORTH AMERICA: Play Hockey Group regrets that its services are presently not open to residents outside of Canada and the United States. If you are a resident from outside of Canada or the United States, do not create an Account or use our Services at the present time.

Account Security

In connection with any Account that you establish, you may need to create a unique password for your Account and/or use your sign-in credentials if provided from a third-party social media or other platform (e.g., Google, Apple, etc.) ("third-party credentials"). You will be solely responsible for (i) creating a strong password to safeguard your Account, (ii) maintaining the confidentiality of your password and/or third-party credentials used to access your Account, and (iii) restricting access to your computer or device. You agree to notify Play Hockey Group immediately if the confidentiality of your Account has been compromised or if you suspect it has been compromised. Play Hockey Group has the right to take any actions that it deems reasonable in such event provided that Play Hockey Group shall have no liability for any acts or omissions in this regard. Play Hockey Group is not under any obligation to verify the actual identity or authority of any User. Play Hockey Group may rely on the authority of anyone accessing your Account and will not be liable for any damages, loss, costs and/or expenses arising out of or relating to any unauthorized use of such Account. You acknowledge and agree that you are solely responsible for all activities and actions that are made through or that occur while using your Account, whether or not you authorized the activity. It is your obligation to monitor your Account activity and to advise Play Hockey Group immediately of any issues concerning your Account or our Platforms. Play Hockey Group reserves the right, without notice and in our sole discretion, to suspend or terminate your access to the Platforms and Services and to refuse or restrict access or service, terminate accounts, and to remove or edit content on the Platforms. If we, in our sole reasonable determination, believe that you have violated any of these Terms of Use, we may suspend or terminate your account.

Registration and Waiver

Registration by organizational heads, team coaches, team managers or parents/legal guardians is required for a Player to be registered to participate in Events. A Registrant must be of the age of majority in their jurisdiction of residence and provide certain required information to Play Hockey Group to complete registration information requirements concerning themselves and concerning Players registered by the Registrant.

You acknowledge and agree that, prior to the registration and/or participation of any Player for Events, as a condition of participation, such Player’s parent(s)/legal guardian(s) must agree to be bound by the Play Hockey Group Assumption of Risk, Liability Waiver, Indemnity and Release (“Waiver”).

By registering a Player and/or participating in any Play Hockey Group Events or activities, you represent and warrant to Play Hockey Group, intending that Play Hockey Group relies on same, that: (i) you are of the age of majority in your jurisdiction of residence, (ii) you have obtained all necessary approvals, consents, permissions and authorizations from all individuals or, in the case of Minors, obtain all necessary approvals, consents, permissions and authorizations from all such Minors' parent(s)/legal guardian(s), to register such Player and to submit such Player’s information, including Personal Information to Play Hockey Group and to delete or modify such information, (iii) all such information submitted to Play Hockey Group is true, accurate, current and complete, (iv) each Waiver submitted to Play Hockey Group in respect of a Player has been duly and lawfully signed by such Player’s parent(s)/legal guardian(s) whom had full legal capacity and authority to execute the Waiver and to bind such Player thereto, and (v) you accept full responsibility for all costs, fees, charges and/or taxes of any kind or nature whatsoever resulting from your use of our Services under your name or Account, including for the registration for Events and other Services.

Payments and Fees

Some features and/or elements of our Services, including Player or team registration in Events, may be offered for a fee and/or require payment. The applicable fees for such Services will be disclosed on our Platforms. Unless otherwise agreed to in writing, all fees are subject to change without notice. You agree to pay Play Hockey Group all applicable fees for our Services provided to you by Play Hockey Group under the following terms and conditions:

only Users who have reached the age of majority in their jurisdiction of residence may engage in financial transactions of our Services;
when engaging in a financial transaction on our Services, you represent and warrant that you have the right to use your selected payment method and that your payment method has enough credit available to complete the applicable transaction. You further agree that you have read and agree to be bound by any applicable terms, conditions, guidelines or policies published by Play Hockey Group from time to time and that any information you provide in connection with any financial transaction on our Services, including without limitation the provision of a selected payment method, shall be subject to the privacy policy as outlined by the applicable payment service provider for that financial transaction. If you believe someone has gained access to or used your Account, including your payment method, without your permission, you must notify Play Hockey Group as soon as possible. Play Hockey Group reserves the right to suspend any Account with unauthorized charges or to restrict an Account’s ability to engage in financial transactions on our Services;
if you elect to pay applicable fees with a credit card, Play Hockey Group will bill your credit card for all fees and you hereby authorize Play Hockey Group to charge your credit card or to charge any form of payment you have obtained to replace your credit card;
you will provide Play Hockey Group with accurate and complete billing information, including legal name, address, telephone number, and/ or debit card billing information. If such information is false or fraudulent, Play Hockey Group reserves the right to terminate your use of our Services in addition to seeking any other legal remedies;
Play Hockey Group is not responsible for any charges or expenses (e.g., for overdrawn accounts, exceeding credit card limits, etc.) resulting from charges billed by Play Hockey Group. Each charge will be considered valid unless disputed by you in writing within thirty (30) days after the billing date. No adjustments will be made for disputed charges made more than thirty (30) days after the billing date;
Play Hockey Group reserves the right to amend the available payment methods on our Services from time to time; and
all fees will be paid in the currency of the geographical location that you are using our Services in, and are due as set forth on our Platforms.

Play Hockey Group’s fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you will be responsible for payment of all such taxes, levies and/or duties.

Cancellation Policy

In the event a Player or team’s registration for and/or participation in an Event is cancelled, suspended or otherwise withdrawn, for any reason whatsoever, whether by the Registrant, Play Hockey Group or any other person, Play Hockey Group, in its sole discretion, may issue a partial refund of the applicable registration fee. For greater certainty, Play Hockey Group has no obligation to provide any refunds for Event cancellations or where Player’s/team’s registration is withdrawn.

If an Event is cancelled due to circumstances beyond Play Hockey Group’s control, including but not limited to, damages to the premises/buildings/facilities/fields where the Events occur, mechanical breakdown, pandemics, acts of God or other failure of the facilities which would, in Play Hockey Group's sole and unfettered discretion, prevent the proper operation of the Events for which such Player and/or team have registered, no portion of the registration fee will be refunded.

Use of Third Party Service Providers

We may have functionality in the Website that is provided, in whole or in part, by a third-party service provider. You can usually identify such third-party functionality by the use of a trademark not owned by us on or near the functionality. For such ‎third-party functionality, you will need to review the terms of use and privacy policy for ‎that third party, which in some cases may require you to visit that party’s website and ‎locate the terms of use and privacy policy. Your review should include determining ‎whether such terms and policy are acceptable to you. If they are not, do not use the ‎associated functionality on the Website. Play Hockey Group reserves the right to use third party service providers to carry out our Services and Events and undertakings, in its discretion and without notice, as determined by Play Hockey Group from time to time. Third party service providers may be located outside of your jurisdiction of residence and services may be subject to third party terms and conditions. Play Hockey Group has no control over and assumes no responsibility for the Content, accuracy, privacy policies, or practices of or any opinions expressed in any third party websites or by any third party that you interact with through our Services. In addition, Play Hockey Group will not and cannot monitor, verify, censor or edit the Content of any third party website or service. For all third party sites and services, we recommend that you carefully review third party terms and policies. By using our Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.

Certain features of our Services may allow you to share information, texts, links, graphics, photos, audio, videos, visuals or other materials or arrangements of materials uploaded, downloaded or appearing on our Services (collectively referred to as "Content") with others, including through your social networks and other services where you have an account ("Third Party Accounts"). When Content of our Services are authorized for sharing, we will clearly identify the Content you are authorized to redistribute and the ways you may redistribute it, usually by providing a 'share' button on or near the Content. If you share Content from our Services with others through your Third Party Accounts, such as your social media networks, you authorize Play Hockey Group to share that information with the applicable Third Party Account provider. Please review the policies of any Third Party Account providers you share information with or through for additional information about how they may use your information.

Content on our Services

You are responsible for your use of our Services and for any Content you provide, download, upload, share and/or post, including compliance with all applicable laws, rules and regulations. You must only provide Content that you are comfortable sharing with others.

Content shared on our Platforms may include Minors. You represent and warrant to Play Hockey Group that any and all Content featuring or containing Minors is shared with the express consent of their parent(s)/legal guardian(s) and that such Content does not expose Minors to any potential harm including, without limitation, exploitation, bullying or violations of privacy. Examples of appropriate Content featuring Minors may include:

photographs or videos from Play Hockey Group tournament games, matches, ceremonies or public celebration events;
training and skill development videos;
Player post-game interviews; or
team or group photographs taken in a public Event setting.

Examples of inappropriate Content may include:

personal home photographs or videos unrelated to Play Hockey Group tournament or team activities;
photographs or videos taken in private or vulnerable settings (e.g., bedrooms, dressing rooms, private homes);
photographs or videos of persons without appropriate attire or in a context that could be interpreted as exploitative or invasive; or
comments or opinions which are intended to, or that result in, embarrassment, harassment or humiliation.

Any use or reliance on any Content or materials shared, posted, uploaded or downloaded via our Services or obtained by you through our Services is at your own risk. Play Hockey Group does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via our Services or endorse any alleged facts or opinions expressed via our Services. You understand that by using our Services, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. All Content is the sole responsibility of the person who originated such Content, and you agree that you are solely responsible for the post of any Content that you make available on or send through our Services or Platforms. Play Hockey Group may not monitor or control the Content posted via our Services and, we cannot take responsibility for such Content. Although Play Hockey Group has no obligation to screen, edit or monitor any of the Content or user conduct on the Platforms, we reserve the right, and have absolute discretion, to remove, screen or edit any Content and to monitor any user conduct on the Platforms at any time and for any reason without notice.

Intellectual Property

Play Hockey Group trademarks, service marks, trade dress, the “look and feel,” domain names and Content displayed on our Services (collectively, the "Play Hockey Group Trademarks") are either registered or common law unregistered trademarks of Play Hockey Group. You may not use meta tags or any other 'hidden text' using any of the Play Hockey Group Trademarks without Play Hockey Group's permission. Other trademarks, design marks, product names, company names or logos appearing on team jerseys or at Event locations or otherwise are trademarks of their respective owners. Nothing contained on our Services or at any Event location should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademarks, including the Play Hockey Group Trademarks, except with the express written consent of the trademark owner. Play Hockey Group prohibits the use of any Play Hockey Group Trademarks as a "hotlink" to our Platforms without the prior written permission of Play Hockey Group. You cannot link, make reference to, use, reproduce, republish or re-disseminate any Content on our Services including any of the Play Hockey Group Trademarks without our prior written consent.

All content, data, materials, software, and technology included in the Services and Platforms or used in the operation of the Services, are Play Hockey Group’s owned or licensed property and are protected by intellectual property laws. In addition, the compilation (meaning the collection, arrangement, and assembly) of all content on the Services and Platforms (exclusive of any User-created Content) is Play Hockey Group’s exclusive property and protected by copyright laws. The copyright in all material provided on our Platforms is held by Play Hockey Group or by the original creator of the material. Subject to your compliance with these Terms of Use, Play Hockey Group grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the content, information, and functionality made available through the Services and Platforms, for your use of the Services and Platforms in accordance with other guidelines, instructions, and limitations described on the Services. Except as stated herein, none of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including but not limited to electronic, mechanical, photocopying, recording or otherwise, without the prior written permission of Play Hockey Group or the copyright owner. You also may not without the prior written permission of Play Hockey Group "mirror" any material contained within any of our Platforms.

If you use Content covered by intellectual property rights that Play Hockey Group has and makes available to you on any of our Platforms, including but not limited to images, designs or videos, we retain all rights to that Content. You must obtain our written permission to modify, create derivative works of, decompile, or otherwise attempt to extract source code from Play Hockey Group. Access to Play Hockey Group venues and Events does not confer and shall not be considered as conferring upon you any license under any of Play Hockey Group's or any third party's intellectual property rights.

All other intellectual property rights related to the content, data, materials, software, and technology included on the Services or used in the operation of the Platform, including without limitation, patents, trade secrets, trade dress, publicity rights, character rights, titles, and artistic and moral rights are Play Hockey Group owned or licensed property. Any use of these rights without Play Hockey Group’s prior written permission is strictly prohibited.

We and our licensors own and reserve all right, title, and interest in and to the Platforms. These Terms of Use do not grant you any rights in or to the Platforms or any of its components except for the limited rights to use the Platforms expressly granted by these Terms of Use.

License to Play Hockey Group

Users of our Services may post Content to their profile. Some Content that you share or upload, such as photos or videos, may be protected by intellectual property laws. You are free to share your Content with anyone else, wherever you want.

In order to provide our Services, you must provide certain rights to Play Hockey Group. When you share, post, upload or display Content that is covered by intellectual property rights, you hereby (i) grant Play Hockey Group a non-exclusive, transferrable, sub-licensable, royalty-free and worldwide license to host, use, distribute, modify, run, copy, reproduce, adapt, publish, transmit, upload, download, publicly display, curate, transform, translate and create derivative works of your Content in any and all media distributions or methods now known or later developed, for any purposes (the "License"), and (ii) to the greatest extent permitted under applicable laws, irrevocably waive any and all moral rights that you may have in or with respect to any and all Content that you share, post, upload or display on any of our Platforms including, but not limited to, any and all rights of integrity, association and attribution and any and all other rights which restrict or prevent distortion, mutilation or other modification or use of your Content (collectively referred to as "Moral Rights"). This means that if you share Content on our Services, you give Play Hockey Group permission to store, copy, modify and share it with others, including but not limited to service providers that support our Services and other Users. You agree that the License includes the right for Play Hockey Group to, among other things, (i) analyze text and other information you provide and to otherwise provide, promote and improve our Services including, without limitation, for use with and training of machine learning and artificial intelligence models, whether generative or another type, and (ii) make Content submitted to or through our Services available to other companies, organizations or individuals, including, for example, for improving our Services and the syndication, broadcast, distribution, repost, promotion or publication of such Content on other media and services, subject to Play Hockey Group's terms and conditions for such Content use. Such additional uses by Play Hockey Group, or other companies, organizations or individuals, is made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through our Services as the use of our Services by you is hereby agreed as being sufficient compensation for the Content and grant and waiver of rights herein. The License will terminate when your Content is deleted from all of our Platforms and the Play Hockey Group system in accordance with these Terms of Use. If you do not want to license your Content under the License or if you do not want to waive your Moral Rights, then do not share any Content on our Platforms.

You represent and warrant that you (i) have, or have obtained, all rights, licenses, consents, waivers, permissions, power and/or authority necessary to grant and waive the rights granted and waived herein for any Content that you submit, post, create, share or display on or through our Services, and (ii) have consented to, or have obtained all necessary consents, approvals, authorizations and powers necessary for, the collection, use and disclosure to and by Play Hockey Group of all Personal Information submitted, disclosed or shared by you with respect or in relation to your Content and the License. You agree that such Content will not contain material subject to copyright or other proprietary rights, unless you have obtained the necessary permissions or are otherwise legally entitled to post the material and grant a license to use the material.

Photographs and Media

Play Hockey Group reserves the sole and exclusive right to take photographs and/or audio/video recordings during Events. By attending and/or participating in Events, you acknowledge that you and/or, if you are agreeing to these Terms of Use on behalf of a Minor, all Minors whom you are authorizing to attend and/or participate in such Events are entering into areas where photography and/or audio/video recording may occur and that your and/or such Minor’s presence on or around the premises where the Events occur may result in the production of photographs and/or audio/video recordings which captures your and/or such Minor’s recognizable image, likeness and/or voice. Subject to any limited waiver executed and delivered by you to Play Hockey Group, by entering or attending the premises where Events occur and/or, if you are agreeing to these Terms of Use on behalf of a Minor, allowing a Minor to enter or attend the premises where Events occur, you hereby consent to the taking of photographs and audio/video recordings of yourself and/or such Minor, in any format and any medium now known or hereafter developed, and irrevocably grant Play Hockey Group the perpetual and irrevocable right and license to take, edit, use, display, publish, distribute, reproduce, broadcast, or to make compilations of the photographs and/or audio/video recordings taken of yourself and/or such Minor or which captures your and/or such Minor’s recognizable image, likeness and/or voice for both non-commercial and commercial purposes, including for publication, promotion, advertising, trade and/or instructional purposes concerning Play Hockey Group or any of its related or affiliated companies and their undertakings.

You hereby acknowledge, on your own behalf and, if you are agreeing to these Terms of Use on behalf of a Minor, on behalf of such Minor that Play Hockey Group owns all rights in and to all such photographs and/or audio/video recordings, that these rights are granted without cost or charge to Play Hockey Group, and that no consideration or payment will be paid or payable by Play Hockey Group to you or any such Minor on account of the use of those photographs and/or audio/video recordings. To the fullest extent permitted by law, you hereby agree to waive any rights, claims or demands that you and/or any Minor whom you are accepting these Terms of Use on behalf of may have against Play Hockey Group with respect to such photographs and/or audio/video recordings, including, without limitation, any right to inspect or approve photographs and/or audio/video recordings capturing your or such Minor’s image, likeness and/or voice, any claims for invasion of privacy, violation of the right of publicity, defamation and copyright infringement or for any fees for use of such recorded media. In addition, you hereby waive, to the fullest extent permitted by law, on your own behalf and/or on behalf of any Minor whom you are accepting these Terms of Use on behalf of, any and all Moral Rights that you or such Minor may have in any of the photographs, audio/video records and any other materials that incorporate you and/or such Minor’s image or likeness. SHOULD YOU NOT WISH TO HAVE YOUR IMAGE CAPTURED, YOU MAY NOT ENTER OR ATTEND THE PREMISES WHERE EVENTS OCCUR.

Content and Account Deletion

Content can be deleted from your Account profile either individually or all at once by deleting your Account. Following termination or deactivation of your Account, or removal of your Content from all of our Platforms, Play Hockey Group may keep your Content for backup, archival or audit purposes, or if permitted by applicable law. Play Hockey Group may retain and continue to use, store, display, reproduce, save, modify, create derivative works and distribute any of your Content that you or other Users have stored or shared on our Services, as permitted by applicable law. Without limiting the generality of the foregoing, once your Content or Account is deleted, it may continue to exist elsewhere on the Play Hockey Group systems where:

immediate deletion is not possible due to technical limitations; or
your Content has been used by others in accordance with the License and they have not deleted it (in which case the License will continue to apply until that Content is deleted); or
your Content is being actively used by Play Hockey Group in connection with ongoing marketing or operational activities by Play Hockey Group in accordance with the License (in which case the License will continue to apply until such use is no longer active or ongoing); or
where immediate deletion would restrict Play Hockey Group's ability to (i) investigate or identify illegal activity or violations of our terms and policies; (ii) comply with a legal obligation, such as the preservation of evidence; or (iii) comply with a request of a judicial or administrative authority, law enforcement or a government agency;

in which case, the Content will be retained for no longer than is necessary for the purposes for which it has been retained.

Limitations of Use

You may not access or use our Services for any purpose that is unlawful or that is prohibited by these Terms of Use. You may only access or use our Services to determine the availability of, register for and to participate in and support Play Hockey Group Events and undertakings. Use of our Services for any other purpose, including any commercial use or other purpose, is expressly prohibited.

You may not: (i) reproduce, modify, prepare derivative works based upon, translate, tamper with, distribute, sublicense, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by us; (ii) reverse engineer, disassemble, or decompile the Platforms or apply any other process or procedure to derive the source code of any software included in the Platforms; (iii) use the Services in a manner that interferes with other users' use of the Services and Platforms; (iv) link to, mirror or frame any portion of the Platforms; or (v) attempt to gain unauthorized access to or impair any aspect of the Platforms or its related systems or networks

In addition to the foregoing, you also agree that, in accessing or using our Services you will not commit, assist others to commit, or participate in any of the following acts or actions, each of which is expressly prohibited under these Terms of Use:

violate any applicable law or regulation;
post any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, or content that could otherwise be considered to be objectionable;
impersonate or use the identity of another person or organization, or falsely state or otherwise misrepresent your affiliation with a person or organization;

engage in any activities or manipulate identifying material to misrepresent the origin of content;
access or use our Services in any manner, or otherwise take any action, that burdens our infrastructure to an unreasonable and disproportionate extent, or reduces the speed of our Platforms that otherwise interferes with the normal functioning of our Services or otherwise abuses or overuses our Services;
restrict or inhibit any other User from using and/or enjoying our Services;
circumvent, by-pass or override, or attempt to circumvent, by-pass or override any technological measures that control or limit access to the Service or data;
post or transmit any unlawful, illegal, obscene photos, videos, images or information or images of any kind, including without limitation, any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, provincial, national or international law;
upload, post, publish, transmit, reproduce, distribute or participate in the transfer or sale, or in any way exploit any information, software or other material obtained through our Services which is protected by copyright and other proprietary rights or make any derivative works with respect thereto, without obtaining the prior written permission of the copyright owner or right holder;
post, transmit or otherwise make available or introduce into any of our Platforms any virus, trojan horse, spyware, worm or any other type of computer code intended to infect, control, damage, or hijack the operation of any of our Platforms, information, source code, or any hardware, software, server or telecommunications equipment;
use our Services to conduct any data collection activities of any kind including, without limitation, scraping, data mining, data extraction and data harvesting on or in relation to our Services;
circumvent, or attempt to circumvent, any measures or precautions taken by Play Hockey Group to prevent the use or access of our Services or any other action, in violation of these Terms of Use;
provide inaccurate, outdated or misleading information, impersonate someone or something or create an Account for someone else without their express permission;
create or attempt to create an Account or access or collect information in an unauthorized way including, without limitation, in an automated way without the express permission of Play Hockey Group, regardless of whether such automated access or collection is undertaken while logged-in to a Play Hockey Group Account;
buy, sell, license or transfer any aspect of your Account, solicit, collect or use login credentials or badges of other Users, or request or collect or misappropriate access tokens;

Post any unsolicited or unauthorized advertising or promotional materials, including without limitation, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation;
access our Services to make any fraudulent or false registration for Events. Play Hockey Group reserves the right to cancel any and all such false registrations without notice and without liability;
engage in any other conduct or activity that either conflicts with these Terms of Use or that Play Hockey Group deems, in its sole, absolute and unrestricted discretion, to be in conflict with these Terms of Use; or
use the Services or Platforms for your own commercial purposes.

Enforcement

Notwithstanding anything to the contrary in these Terms of Use, Play Hockey Group reserves the right, but does not assume the obligation, to investigate any violation of these Terms of Use or any other misuse of our Services. Play Hockey Group further reserves the right (each in its sole discretion) to monitor, screen, edit, modify, remove or disable access to any Content that violates these Terms of Use or that Play Hockey Group deems objectionable. Without limiting the foregoing, and notwithstanding anything to the contrary in our Privacy Policy, Play Hockey Group reserves the right to report any activity, data or persons (including the disclosure of relevant User information) to appropriate law enforcement officials, regulators, or other appropriate third parties if Play Hockey Group suspects you have violated these Terms of Use or any applicable laws, rules or regulations. Play Hockey Group also may cooperate with appropriate law enforcement agencies to assist in the investigation and prosecution of any illegal conduct.

Account Suspension or Termination

Play Hockey Group wants our Platforms to be a place where people are free to share with others. Play Hockey Group may remove any Content or information shared on our Platforms or through our Services if such Content or information is believed to violate these Terms of Use or any other policies established by Play Hockey Group or where Play Hockey Group is permitted or required to do so by applicable laws. Play Hockey Group may elect to electronically review your use and access of our Services and reserves the right to suspend, terminate or permanently or temporarily disable your Account and/or refuse any and all current or future uses by you or your participation in any and all Play Hockey Group services or Events without notice should you (i) violate any applicable law in the use of our Services, or (ii) fail to comply or if Play Hockey Group has reason to believe that you have not complied with any obligations set out in these Terms of Use.

Upon termination of your Account, for whatever reason, you shall immediately cease all use of our Platforms.

Changes to Terms of Use

Play Hockey Group reserves the right to change these Terms of Use at any time. We will notify you of any changes by posting an updated version of the Terms of Use on our Website and/or our App with an effective date notation. We will also update the 'Last Updated' date on the Terms of Use. If Play Hockey Group makes any material changes to these Terms of Use, and you have registered with us to create an Account, Play Hockey Group will also send an e-mail to you at the last e-mail address you provided to us to notify you of the material changes. It is your responsibility to regularly review these Terms of Use. If you use our Services after we make any changes, it means you have accepted the changes and that you agree to be bound by the Terms of Use as modified. If you do not agree to the new or updated version of the Terms of Use, you must stop using our Services, close your Account and, if you are accepting this Agreement on behalf of a Minor, help your Minor close their Account.

Play Hockey Group reserves the right to update, modify or discontinue, either temporarily or permanently, our Platforms including any products, goods or services contained on or referenced on any of our Platforms, with or without notice and without any liability. The Platforms may contain technical or other inaccuracies or typographical errors. Changes in new versions of our Platforms are to be covered by these Terms of Use. You agree that Play Hockey Group may download and install updates to our Services on your device.

Play Hockey Group may cease to operate our Website and/or our App, remove or change any feature of our Services, terminate User access or suspend User access to all or part of our Website and/or our App, all in Play Hockey Group's sole and absolute discretion and without notice.

App Stores

You acknowledge and agree that the availability of our App is dependent on the third party from whom you received our App license, e.g., our Apple App Store or Google Play (“App Store”). You acknowledge that these Terms of Use are between you and Play Hockey Group, and does not involve our App Store company. Play Hockey Group, not our App Store, is solely responsible for our App, including the Content thereof, maintenance, support services, and warranty therefor, and addressing any claims relating thereto (e.g., product liability, legal compliance and intellectual property infringement). In order to use our App, you must have access to a wireless network, and you agree to pay all fees associated with such access. You also agree to pay all fees (if any) charged by our App Store in connection with our App. You agree to comply with, and your license to use our App is conditioned upon your compliance with, all applicable third-party terms of agreement (e.g., our App Store’s terms and policies) when using our App. You acknowledge that our App Store company and its subsidiaries are third-party beneficiaries of these Terms of Use and will have the right to enforce them.

Disclaimer of Warranties

WE PROVIDE OUR SERVICES , ITS CONTENT AND OUR SERVICES TO YOU "AS IS" AND "AS AVAILABLE". WE TRY TO KEEP OUR SERVICES UP, BUG-FREE AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AND TO THE EXTENT THAT APPLICABLE LAW PERMITS THE DISCLAIMER OF EXPRESS OR IMPLIED WARRANTIES, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR COURSE OF PERFORMANCE OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT OUR SERVICES WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT OUR SERVICES WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR INFORMATION OF THIRD PARTIES, AND YOU RELEASE US FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.

Limitation of Liability

IN NO EVENT SHALL PLAY HOCKEY GROUP OR ITS DIRECTORS, OFFICERS EMPLOYEES, AGENTS, CONTRACTORS OR REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, ECONOMIC, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE USE OF, THE DELAY OR THE INABILITY TO USE, OUR SERVICES OR ANY PLAY HOCKEY GROUP CONTENT , INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES CAUSED BY ANY FAILURE TO PERFORM, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, NON DELIVERY OF NOTIFICATIONS, EMAIL OR TEXT MESSAGES, COMPUTER VIRUS AND OTHER DAMAGE TO YOUR MOBILE DEVICE, COMPUTERS, COMPUTER NETWORKS OR OTHER PROPERTY, EVEN IF PLAY HOCKEY GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT APPLICABLE LAW DOES NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THIS PARTICULAR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Release and Indemnification

You agree to release Play Hockey Group and its affiliates and their respective directors, officers, employees, agents, contractors or representatives, from any and all liability and obligations whatsoever in connection with or arising from your use of the Services or Platforms. If at any time you are not satisfied with the Services or Platforms or object to any material within the Platforms, your sole remedy is to cease using the Services and Platforms.

As a condition of you accessing or using our Services, you agree to defend, indemnify and hold harmless Play Hockey Group, its affiliates and their respective directors, officers, employees, agents, contractors or representatives from and against any and all claims, demands, actions, responsibilities, liabilities, losses, costs, or expenses of any kind (including reasonable attorneys’ fees and costs) arising out of, resulting from, relating to or otherwise connected with (i) your use of our Services and/or, if you are agreeing to these Terms of Use on behalf of a third party (including a Minor), such third party’s use of our Services, (ii) your participation in or attendance at Events, and/or, if you are agreeing to these Terms of Use on behalf of a third party (including a Minor), such third party’s participation in or attendance at Events, (iii) any information including Personal Information you supply to us either on your behalf or on behalf of a third party, or (iv) a breach of these Terms of Use, the Privacy Policy or any other terms, conditions, guidelines or policies published by Play Hockey Group from time to time by you and/or, if you are agreeing to these Terms of Use on behalf of a third party (including a Minor), such third party.

Some jurisdictions may limit the ability of a parent/guardian to waive a Minor’s legal rights. Accordingly, if you are agreeing to these Terms of Use on behalf of a Minor, to the fullest extent permitted by law, if any claim is brought by you or on behalf of such Minor, you agree that the indemnification obligations set forth above apply, waive any claims that you personally may have arising out of such Minor’s use of our Services, and agree to not bring or permit to be brought any claim on behalf of such Minor against Play Hockey Group relating to our Services.

The Services may include links to other internet websites maintained by third parties that are not under Play Hockey Group’s control ("Linked Sites"). Play Hockey Group provides Linked Sites to you solely as a convenience, and the inclusion of Linked Sites does not imply approval or endorsement by of the Linked Sites. You access Linked Sites at your own risk and by accessing them you leave the Play Hockey Group Platforms. Linked Sites are not under the control of Play Hockey Group and Play Hockey Group is not responsible for the Contents of any Linked Sites. Any transaction between you and the Linked Sites are directly with the Linked Sites and Play Hockey Group shall not be held responsible for any resulting loss or damage.

Privacy Policy and Additional Policies We May Establish

Play Hockey Group is committed to your right to privacy and we have established our Privacy Policy to set out the manner in which we collect, use, disclose, or administer Personal Information. These Terms of Use incorporate our Privacy Policy.

Play Hockey Group may establish additional policies concerning its business and practices from time to time and which shall be binding on the parties. We shall provide notice to you of additional policies that are binding on you by posting a notice on our Website and/or our App. It is your obligation to review our Website and our App periodically to ensure you are aware of our policies and your obligations.

Entire Agreement

Subject to any other applicable agreement you may have entered into with us, these Terms of Use, our Privacy Policy and any other notices or statements posted on our Services constitute the entire agreement between you and Play Hockey Group with respect to the use of our Services.

Waiver

Any failure, delay or omission by Play Hockey Group to enforce or exercise any of its rights under these Terms of Use does not constitute a waiver of same.

Severability and Assignment

If any provision of these Terms of Use is determined to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect or modified to the extent necessary to make them enforceable.

These Terms of Use does not give rights to any third parties. For greater certainty, all persons and entities forming part of Play Hockey Group are parties to these Terms of Use. You acknowledge that your Account is personal to you and that your Account and/or your rights or obligations under these Terms of Use may not be assigned or transferred. You may not use your Account in connection with or for the benefit of any other person. Play Hockey Group's rights and obligations under these Terms of Use may be assigned, in Play Hockey Group's sole and absolute discretion.

Governing Law

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms of Use shall be resolved exclusively through final and binding arbitration and not through litigation in court, except where prohibited by law. The arbitrator shall have the exclusive authority to award any remedy available under applicable law, subject to the limitations contained in these Terms of Use, and to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.

Prior to initiating arbitration, the party asserting a claim must provide written notice of the claim to Play Hockey Group describing the nature of the dispute and the relief sought. The parties agree to attempt to resolve the dispute in good faith for a period of sixty (60) days following such notice before initiating arbitration.

The locale of arbitration and applicable law shall depend on where the Services giving rise to the dispute were provided.

Services provided in Canada: Arbitration shall take place in Winnipeg, Manitoba, in accordance with The Arbitration Act (Manitoba) before a single neutral arbitrator, governed by the laws of the Province of Manitoba, Canada, without regard to conflict of laws principles, and conducted under and administrated by the Arbitration Rules of the ADR Institute of Canada and administered by it.
Services provided in the United States: Arbitration shall take place in Hennepin County, Minnesota, governed by Minnesota law and the Federal Arbitration Act without regard to conflict of laws principles, and conducted under and administrated by the Consumer Arbitration Rules of the American Arbitration Association (“AAA”). The payment of filing, administration, and arbitrator fees shall be governed by the AAA Consumer Arbitration Rules, and Play Hockey Group shall pay any such fees required under those rules beyond the filing fee that would apply to filing a civil action in court.

By accessing/using our Services and/or disclosing Personal Information to us, you understand and agree you are waiving the right to bring a lawsuit in court or to have a trial before a judge or jury for any claim covered by this arbitration agreement. To the fullest extent permitted by law, any arbitration shall be conducted only on an individual basis and not as a class, consolidated, or representative action.

To the extent not specified in any other agreement you may have with us, for Services provided in Canada or the United States, in the event of any dispute that cannot be resolved amicably, the parties irrevocably attorn to the exclusive jurisdiction of the Courts of Manitoba, Canada.

English Language

It is the express wish of the parties that these Terms of Use be drafted in English. Les parties aux presents souhaitent expressément que les présentes conditions d'utilisation soient rédigées en anglais.
